Salesforce is buying Braze, the company that sends the push alerts, in-app nudges and marketing emails for Canva, Instacart and Venmo, for $47.50 a share in cash, an enterprise value of about $5.66 billion (roughly ₹53,600 crore). The two companies announced the deal on 20 October 2026. Braze shareholders and regulators still have to sign off, and Salesforce expects to close in its fiscal 2028, the year running from February 2027 to January 2028.
Key takeaways
- Braze Class A holders get $47.50 a share in cash, about 58% above the $30.04 close on 19 October.
- Braze slots into Marketing Cloud, Data 360 and Agentforce, handing Salesforce the real-time, mobile-first messaging engine it never built.
- It is Salesforce’s third big software buy of 2026, after Fin (formerly Intercom) and Contentful.
- Braze customers see no change for now. Post-closing pricing, packaging and support for non-Salesforce data stacks are still unannounced.
What Salesforce announced
The mechanics are set out in the merger agreement Braze filed with the US SEC, dated 19 October 2026. A Salesforce subsidiary, Banff Acquisition Sub, will merge into Braze, which becomes a wholly owned part of Salesforce and leaves Nasdaq, where it trades as BRZE. Every Class A share converts into $47.50 in cash.
Salesforce’s press release pitches Braze as adding real-time engagement and AI decisioning across all four layers of its platform (Data 360, Customer 360, Agentforce and SIForce), with Marketing Cloud’s cross-channel personalisation the main beneficiary. Braze’s co-founders, chief executive Bill Magnuson and Jon Hyman, are moving into Marketing Cloud. Magnuson said in Braze’s own announcement that Salesforce “shares our commitment to marketers”.
The cash comes off Salesforce’s balance sheet, so the deal is non-dilutive and no new shares will be issued. The company’s investor slides concede a near-term hit to profitability. FY27 guidance is unchanged, FY28 guidance has not been issued, and Salesforce says its long-term targets hold.

How much is Salesforce paying relative to Braze’s revenue?
Less than the headline premium suggests. The $47.50 offer is 58.1% above the $30.04 close on the eve of the announcement (47.50 ÷ 30.04 − 1 = 0.581). Set the $5.66 billion enterprise value against $911.5 million, the midpoint of Braze’s own FY27 revenue guidance, and Salesforce is paying about 6.2 times forward revenue. The break fees are modest too: the $191.39 million Braze would owe for taking a rival bid is about 3.4% of enterprise value, and the $300 million Salesforce would pay if regulators block the deal works out to about 5.3%.
| Example: investor holding 100 Braze shares | USD | INR (approx.) |
|---|---|---|
| Value at 19 Oct close (100 × $30.04) | $3,004 | ₹2.85 lakh |
| Cash at closing (100 × $47.50) | $4,750 | ₹4.50 lakh |
| Difference before tax | $1,746 | ₹1.65 lakh |
Long-standing shareholders will find less to celebrate. Braze listed at $65 a share in November 2021, which leaves the takeover price roughly 27% under its IPO price. Anyone who bought on day one is still nursing a loss, premium and all.
What is Braze, and why does Salesforce want it?
Braze, based in New York with 15 offices across the Americas, EMEA and APAC, makes software that watches what a customer does in an app or on a website and answers within seconds by push notification, in-app message, email, SMS or WhatsApp. By Salesforce’s count it handles trillions of messages and journey actions a year, with a layer called BrazeAI picking the content, offer, channel and timing for each user.
That is a hole in Salesforce’s line-up. Marketing Cloud traces back to ExactTarget, an email-first business Salesforce bought for about $2.5 billion in 2013, and it remains strongest at batch email and large enterprise journeys. App-first consumer brands have often gone to Braze instead. Salesforce is in effect buying the real-time engagement layer its marketing arm never had, Shay Boloor of Futurum Equities told Reuters.
Braze’s own figures made it an easy target to like. At 31 July 2026 it reported dollar-based net retention of 110%, $1.09 billion in remaining performance obligations and $21.7 million of free cash flow for the quarter.
Salesforce’s 2026 shopping spree
| Target | Announced | Approx. value | What it adds |
|---|---|---|---|
| Fin (formerly Intercom) | 15 June 2026 | $3.6 billion | AI customer-service agent |
| Contentful | June 2026 | ~$1.5 billion (reported) | Headless content management |
| Braze | 20 October 2026 | $5.66 billion | Real-time, cross-channel engagement |
That is roughly $10.8 billion of announced deals in about four months, on top of the $8 billion Informatica deal Salesforce struck the year before.
What the deal means for Braze customers
- Business as usual until closing. Braze stays an independent listed company until shareholders and regulators approve. The US Hart-Scott-Rodino waiting period has to expire first, along with other antitrust and foreign-investment clearances.
- The name survives, for now. Magnuson has said the company will keep building as Braze. Nobody has published post-closing pricing, message-volume tiers or how BrazeAI will be packaged.
- Warehouse-first teams should watch the connectors. Plenty of Braze customers feed it from Snowflake, Databricks, BigQuery or Redshift rather than Salesforce. The announcement talks up an open, composable approach but makes no specific connector commitments.
- Marketing Cloud users gain an option and an open question. Salesforce has not said how Braze will fit beside Marketing Cloud’s existing email, mobile and journey tools.
The India angle
Two of Braze’s closest rivals are Indian-founded. Bengaluru’s MoEngage and Pune’s CleverTap sell engagement platforms to the same app-heavy consumer brands where Braze is strongest. For D2C brands, fintechs and consumer apps in India, the deal is a prompt to check who owns their engagement vendor, where its roadmap is heading and how easily their data could leave, ideally before the next renewal comes round.
Our take
The price tells you more about 2026 software valuations than about Braze. A 58% premium looks generous until you see the multiple: about 6.2 times forward revenue for a business growing 26% a year and generating free cash. Braze, like many mid-cap SaaS names, had sunk far below its IPO price as investors bet that AI agents will eat into demand for seat-based software. Salesforce is buying capability at that discount rather than building it. As long as the gap persists, more take-privates and strategic purchases of profitable mid-cap SaaS firms look likely.
Strip away the AI branding and this is a deal about data and distribution. For Agentforce to earn its keep in marketing, it needs live behavioural signals and a channel to act on them. Braze supplies both. With Informatica handling data plumbing and Fin covering AI service, Salesforce is stitching together a loop where data flows in, an agent makes a call and a message goes out. Braze is the last step, at consumer scale.
The danger lies with customers who picked Braze precisely because it was not Salesforce. Braze built its base among app-first brands running warehouse-centred data stacks. If new BrazeAI features land first, or only, for Data 360 users, some of them will shop around, and rivals such as MoEngage and CleverTap can pitch themselves as the neutral alternative. Salesforce’s history cuts both ways: Krux and Datorama were absorbed into Marketing Cloud, while other acquisitions kept their identity for years. A public promise on non-Salesforce connectors and standalone pricing would protect the $5.66 billion better than any AI demo.
If we were a Braze customer, we would sit tight. Mark the renewal date, get the account team to put its post-closing connector and pricing commitments in writing, and make sure customer event data exports cleanly. Closing could be a year off. That is time to plan, not panic.
