A limited liability partnership in Kochi or Kozhikode is incorporated through exactly the same MCA forms as one in Delhi. What makes it a Kerala LLP is everything around those forms: the Rs 5,000 stamp duty on the partnership agreement, a shops and establishments certificate from the Labour Department, profession tax paid to your panchayat or municipality twice a year, and the state’s K-SWIFT route for business approvals. Get those four right and the LLP can trade legally from its first month.
This page deals only with the Kerala-specific part of registering an LLP in Kerala. The national steps (RUN-LLP, FiLLiP, DPIN, Form 3 and the fee slabs) are covered in our main guide on how to register an LLP in India, so keep it open in another tab.
Ernakulam ROC, a Flat Rs 5,000 Stamp Duty and State Fees in Kerala
- Incorporation is central: an LLP with a Kerala registered office files RUN-LLP, FiLLiP and Form 3 on the MCA portal and comes under the Registrar of Companies at Ernakulam.
- Stamp duty on an LLP agreement in Kerala is a flat Rs 5,000 whatever the contribution, according to state-wise tables published in 2026.
- Kerala revised its shops and establishments fees in February 2026. They now range from Rs 70 for a unit with no employees to Rs 5,250 for one with more than 100.
- Profession tax is charged per half-year, up to Rs 1,250 for each period, and is due by 31 August and by the end of February.
- Under the Kerala MSME Facilitation Act, 2019, an eligible enterprise can start on an acknowledgement certificate and obtain most state approvals later.
How a Kerala LLP Fits Into the National Process
Company and LLP law is a central subject, so Kerala has no separate registration Act or portal for LLPs. You reserve the name, file FiLLiP and file the agreement on the Ministry of Corporate Affairs website, pay the same fees as anyone else, and meet the same rule of two designated partners with at least one resident in India. The MCA’s incorporation guide applies unchanged.
The state matters in two places. First, the registered office address decides which Registrar of Companies (RoC) holds your records. For Kerala that is the RoC at Ernakulam, so notices, queries on later filings and any penalty proceedings come from that office. Second, everything you do on the ground (stamp paper, the shop licence, local taxes, building and trade permissions) runs through Kerala departments and your local body.
One practical point for the address proof. Most Kerala landlords will hand over a KSEB electricity bill, which works as the utility bill FiLLiP asks for, as long as it is recent and matches the address you type into the form character for character. Copy the building number and locality exactly as the bill prints them.

Stamp Duty on an LLP Agreement in Kerala
The LLP agreement must be signed on stamp paper (or an e-stamp certificate) of the correct value before you file it in Form 3 within 30 days of incorporation. In Kerala the amount is the same for a two-person studio and a large trading firm. IndiaFilings’ state-wise stamp duty table, published in August 2026, lists Kerala at a flat Rs 5,000 in every contribution band, and CalcGuru’s Kerala LLP agreement page gives the same Rs 5,000 figure whatever the capital.
A flat rate cuts both ways. For a small LLP with Rs 1 lakh of contribution, Rs 5,000 of stamp duty is ten times the Rs 500 FiLLiP fee and easily the largest government cost of setting up. For a firm with Rs 50 lakh of capital, it is a bargain next to states that link duty to contribution. Karnataka, in the same table, charges Rs 5,000 for the lower bands and adds Rs 1,000 for every further Rs 5 lakh above Rs 10 lakh.
The duty comes from the Kerala Stamp Act, 1959, which lists instruments of partnership in its Schedule, and the state can revise those rates through its yearly Finance Act. Buy the stamp before the partners sign, so the stamp date is not later than the date of execution. Treat any later amendment, such as a new partner joining, as a fresh document that is stamped and filed again through Form 3.
Shops and Commercial Establishments Registration in Kerala
Once the LLP opens an office, shop, clinic or showroom in Kerala, the premises fall under the Kerala Shops and Commercial Establishments Act, 1960. Registration is with the Labour Department, and the certificate is one of the documents banks, landlords and larger clients ask for before they deal with a new firm.
The fee structure changed this year. The Government of Kerala notified the Kerala Shops and Commercial Establishments (Amendment) Rules on 5 February 2026 (G.O.(P) No. 12/2026/LBR), replacing the fee table in Rule 2G(1), according to a TeamLease RegTech summary of the notification. Fees for registration and renewal now scale with headcount, from Rs 70 for an establishment with no employees up to Rs 5,250 for one with more than 100. The rules took effect immediately.
For a newly registered LLP the practical sequence is straightforward. Wait for the incorporation certificate, because the application is made in the LLP’s name. Then apply for the establishment certificate for each place of business, listing the partners as the persons in charge and the employees you actually have. Update it when headcount crosses a slab, since the fee is tied to the number of workers.

Kerala Profession Tax for the LLP and Its Staff
Profession tax in Kerala is a local body levy. Panchayats collect it under the Kerala Panchayat Raj (Profession Tax) Rules, and municipalities and corporations under their own law. The tax is assessed per half-year rather than per month, which confuses people moving in from states such as Karnataka or Maharashtra.
For salaried staff the slabs are set by half-yearly gross salary. These are the rates in Zoho Payroll’s Kerala profession tax summary, as of November 2026:
| Half-yearly gross salary | Profession tax per half-year | Roughly equal to monthly pay of |
|---|---|---|
| Up to Rs 12,000 | Nil | Up to Rs 2,000 |
| Rs 12,000 to Rs 17,999 | Rs 320 | Rs 2,000 to Rs 3,000 |
| Rs 18,000 to Rs 29,999 | Rs 450 | Rs 3,000 to Rs 5,000 |
| Rs 30,000 to Rs 44,999 | Rs 600 | Rs 5,000 to Rs 7,500 |
| Rs 45,000 to Rs 99,999 | Rs 750 | Rs 7,500 to Rs 16,667 |
| Rs 1,00,000 to Rs 1,24,999 | Rs 1,000 | Rs 16,667 to Rs 20,833 |
| Above Rs 1,25,000 | Rs 1,250 | Above Rs 20,833 |

The top slab starts at about Rs 20,833 a month, so most full-time professional staff in Kerala pay the maximum Rs 1,250 per half, or Rs 2,500 a year. The LLP, as employer, must register with the local body, deduct the tax from salaries and pay it over. Zoho’s summary gives the due dates as 31 August for the April to September half and the end of February for October to March, with a 1% monthly charge on late payment.
The LLP itself can also be liable. The same summary lists firms and corporate bodies that carry on business in a local body area for 60 days or more among those who must pay, alongside professionals such as advocates and doctors. Partners who also practise a profession in their own name may have a separate personal assessment.
Starting Operations Through K-SWIFT and the Kerala MSME Act
Kerala’s biggest help for a new business is not a subsidy but a waiting period. The Kerala Micro Small Medium Enterprises Facilitation Act, 2019 lets an eligible enterprise file a declaration of intent and receive an acknowledgement certificate. With that certificate it can start operating without first collecting state and local body approvals, and it has three years to put them in place, with a further six months after that period ends.
The Act carries real weight. The Supreme Court has held that it overrides the Kerala Panchayat Raj Act where the two conflict, which matters for units in panchayat areas that would otherwise wait on a local licence.
Applications run through K-SWIFT, the Kerala Single Window Interface for Fast and Transparent clearance, which the state’s industrial development corporation lists as its route to apply for business licences. The LLP applies in its own name after incorporation, so treat K-SWIFT as step four, after the certificate, PAN and the agreement are done.

First-Year Costs for a Kerala LLP: A Worked Example
Consider a small digital agency in Thrissur. Two partners put in Rs 1 lakh, rent a small office and hire two employees at Rs 25,000 a month each. The partners already hold DSCs, and they reserve the name inside FiLLiP to save the RUN-LLP fee.
| Cost item | Amount | Paid to |
|---|---|---|
| FiLLiP incorporation fee (contribution up to Rs 1 lakh) | Rs 500 | MCA |
| Form 3 filing fee | Rs 50 | MCA |
| Stamp duty on LLP agreement | Rs 5,000 | Kerala (e-stamp) |
| Form 11 and Form 8 in the first year | Rs 100 | MCA |
| Profession tax on two employees (Rs 1,250 x 2 halves x 2 people) | Rs 5,000 | Local body (deducted from salaries) |
| Total government charges, year one | Rs 10,650 |
Each employee earns Rs 1,50,000 per half-year, well above the Rs 1,25,000 top slab, so each pays Rs 1,250 per half. The shops and establishments fee is extra and depends on the headcount slab in the 2026 table. Professional fees are also extra.
Note what dominates. The Kerala stamp duty and the employees’ profession tax together come to Rs 10,000, while the MCA’s own charges are Rs 650. The national fee tables most guides quote are the smallest part of the bill. Our expense spreadsheet template has room for these local costs so they do not get lost among rent and salaries.
A Compliance Calendar for Your First Year in Kerala
Kerala adds two dates to the national calendar, and both are profession tax deadlines. Assuming a financial year ending 31 March, the year looks like this:
| When | Filing or payment | Authority |
|---|---|---|
| Within 30 days of incorporation | Form 3 with the stamped LLP agreement | MCA (RoC Ernakulam) |
| Before opening the premises | Shops and establishments registration | Kerala Labour Department |
| Before or soon after starting | K-SWIFT application or MSME acknowledgement | Government of Kerala |
| By 30 May | Form 11 annual return | MCA |
| By 31 August | Profession tax for April to September | Panchayat, municipality or corporation |
| By 30 October | Form 8 statement of account and solvency | MCA |
| By end of February | Profession tax for October to March | Panchayat, municipality or corporation |
MCA deadlines from the IndiaFilings compliance summary; profession tax dates from Zoho Payroll. The MCA late fee is Rs 100 per day per form, so the national dates are the expensive ones to miss.
Local Choices That Shape a Kerala LLP
A few decisions are worth making early, because they are awkward to change later.
- Panchayat or municipal address: the local body decides who collects your profession tax and issues local licences. A home address in a panchayat and an office in a corporation area means two sets of local paperwork if both are used for business.
- Resident partner for Gulf-based founders: many Kerala ventures are funded by family members working in the Gulf. That is fine as a partner, but the rule of at least one designated partner resident in India means someone on the ground must hold that role and sign the filings.
- A name that works in two languages: customers will say the name in Malayalam and see it in English. Test both, then check availability on the MCA portal. Our business name generator is a quick way to build a shortlist.
- Contribution level: because Kerala’s stamp duty is flat, there is no stamp saving from declaring a low contribution. The only saving is on MCA slabs, which are small at the lower end.
